1. Who We Are
Northline Digital is a web design and AI services studio operated by Reid Ayres, based in Barrie, Ontario, Canada. When we say "Northline," "we," or "us," we mean Northline Digital. When we say "you" or "client," we mean you — the person or business using our services.
2. What We Do
We provide web design, AI-powered automation, and digital services to local businesses. Specific deliverables, timelines, and pricing are outlined in your package agreement or proposal. These Terms of Service apply to all services unless your individual agreement states otherwise.
3. What We Agree To Do
- Deliver the services described in your package agreement, on time and to a professional standard.
- Keep your business data and customer data private and secure.
- Monitor AI systems we set up on your behalf and fix issues as they arise.
- Train you on how to use and manage any systems we build for you.
- Communicate honestly about what AI can and cannot do.
- Give you access to your data at any time, and let you take it with you if you leave.
4. What You Agree To Do
- Provide accurate business information during onboarding (hours, services, contact info, pricing ranges).
- Review and approve AI-generated content and configurations before they go live.
- Confirm that any customer list you provide has given you consent to be contacted, as required by Canada's Anti-Spam Legislation (CASL).
- Let us know promptly if you see the AI producing incorrect or inappropriate responses.
- Pay for services as agreed in your package.
5. AI Services — Honest Limitations
AI systems are powerful tools, but they are not perfect. You acknowledge that:
- AI can occasionally produce unexpected or incorrect responses, even when properly configured.
- We strongly recommend reviewing AI-generated content before it reaches your customers — especially review responses, email campaigns, and social media posts.
- We monitor and tune AI outputs continuously, but we cannot guarantee that every response will be perfect. We fix issues quickly when found.
- AI should be treated like a capable but new employee — helpful, fast, and occasionally in need of a quick review.
6. Payment Terms
- Setup fees are due at contract signing before work begins.
- Monthly fees are billed on the same date each month via Stripe.
- If a payment fails, we will notify you and provide a 30-day grace period before suspending services.
- All prices are in Canadian dollars (CAD) unless stated otherwise in your agreement.
7. Cancellation
- Monthly clients: Cancel anytime with 30 days written notice. Service continues through the notice period. No early termination fee.
- Annual contract clients: Prorated refund available for unused months.
- On cancellation, we disable AI systems within 7 days, generate a final report, and make your data available for export for 90 days.
8. Your Data
- You own your business data, customer data, and all content generated specifically for your business.
- We store data on our own secure infrastructure, encrypted at rest and in transit.
- We never sell your data to third parties.
- On termination, you can request a complete data export. After 90 days, data is permanently deleted.

9. What We Own
You own all content created for your business. We own the underlying workflow templates, system prompts, and infrastructure we built to deliver the service. If you leave, you keep your content and data. You do not keep access to our tools and templates.
10. Liability
- Our total liability is limited to the amount you paid us in the previous 12 months.
- We are not liable for lost revenue, decisions you made based on AI outputs, or issues caused by third-party services (Twilio, Google, etc.).
- We are liable for gross negligence, unauthorized sharing of your data, and failure to deliver services you paid for.
11. Guarantees
Service-level guarantees (uptime, response time, delivery timelines) are specific to your package tier and documented in your package agreement. We never guarantee specific revenue results or customer counts — only the quality and reliability of our systems and support.
12. Changes to These Terms
We may update these terms from time to time. If we make a material change, we will notify you by email at least 30 days before the change takes effect. Continued use of our services after the change constitutes acceptance.
13. Governing Law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes will be resolved in the courts of Ontario.
